IMAGE LICENSE AGREEMENT

This Image License Agreement (the “Agreement”) governs your purchase and use of digital images and image collections sold by Frills through getfrills.com. This Agreement is incorporated into the Frills Terms and Conditions. By purchasing, downloading, accessing, or using a Product, you agree to this Agreement.

1. Definitions

  • “Frills,” “Company,” “we,” “us,” or “our” means Frills, the owner and operator of getfrills.com.

  • “Website” means getfrills.com and the online storefront, checkout, customer-account, and download features made available through it.

  • “Product” means a digital photo set, image pack, Mega Pack, mockup-ready image set, or other image-based digital product offered for individual purchase through the Website.

  • “Image” means an individual visual file included in a Product. Images offered by Frills are created using artificial-intelligence tools and may also include human selection, editing, retouching, compositing, color work, or other post-production.

  • “Photo Set” or “Image Pack” means a curated group of Images generally created around a cohesive subject, model, product, campaign, theme, or aesthetic.

  • “Mega Pack” means a larger curated group of Images that may contain multiple subjects, styles, themes, or potential uses.

  • “Product Page” means the Website page describing a particular Product, including its contents, price, file specifications, and available license options.

  • “License” means the limited, non-exclusive, non-transferable right to use a purchased Product under this Agreement. No ownership of an Image is transferred to you.

  • “Standard License” means the license described in Section 3.

  • “Extended License” means the license described in Section 4.

  • “Licensee,” “you,” or “your” means the individual or legal entity identified as the purchaser at checkout. If an individual purchases on behalf of a business, that business is the Licensee.

  • “Authorized User” means a person permitted to access and work with the original Image files under the license purchased.

  • “End Use” means a completed design, campaign, website, social post, advertisement, presentation, or other finished work in which an Image has been incorporated and is not offered as a standalone file.

  • “End Product for Sale” means a digital product offered for sale or paid distribution, such as a template, ebook, course, downloadable guide, or similar item, in which an Image is incorporated into a larger original design.

  • “Client Project” means a specific project created by the Licensee for a third-party client.

  • “Digital Use” means display or distribution through electronic media, including websites, apps, social media, email, online advertising, digital presentations, and digital publications. Digital Use excludes physical print reproduction.

  • “Print Use” means reproduction on a physical medium by any printing process, including magazines, books, brochures, packaging, labels, stationery, merchandise, posters, banners, billboards, event materials, and similar items.

  • “Source File” means an original, high-resolution, layered, editable, or otherwise extractable Image file delivered as part of a Product.

2. Purchase and license grant

2.1 One-time purchases

Frills operates as a digital marketplace. Products are purchased individually. Your purchase is not a subscription, membership, recurring plan, or right to access the entire Frills catalog.

2.2 License begins after payment

Your License begins when full payment for the Product and selected license type has been successfully completed. The License applies only to the Images included in that specific purchased Product.

2.3 Duration

Unless terminated for breach under Section 10, the License is perpetual. You may continue using a properly licensed Product in permitted projects without paying renewal fees, even if the Product is later removed from the Website or Frills changes its catalog.

2.4 Non-exclusive license

All Licenses are non-exclusive. Frills may license the same or similar Images to other customers. Your purchase does not give you exclusive rights to any Image, model, composition, concept, color palette, subject, or style.

2.5 License option selected at checkout

The Standard or Extended License selected and paid for at checkout determines your rights. If a Product Page expressly includes different or additional product-specific license terms, those terms apply only to that Product and control to the extent they conflict with this Agreement.

3. Standard License

3.1 Grant of rights

The Standard License grants one Licensee a non-exclusive, worldwide, perpetual license to use the purchased Images in personal, editorial, and commercial Digital Uses for the Licensee’s own personal brand, business, organization, or internal projects.

3.2 Authorized User

The Standard License permits one Authorized User. The original files may be stored on that user’s devices and on private storage controlled by the Licensee. The files may not be shared with coworkers, clients, contractors, collaborators, or other third parties.

3.3 Permitted Standard License uses

Subject to this Agreement, the Standard License permits:

  • Business websites, landing pages, blogs, and web applications;

  • Organic and paid social-media content;

  • Digital advertisements and marketing campaigns;

  • Email campaigns and digital newsletters;

  • Digital presentations and pitch decks;

  • Editorial, educational, and informational digital content;

  • Personal and hobby projects; and

  • Multiple finished digital projects for the same Licensee.

3.4 Standard License exclusions

The Standard License does not permit:

  • Use in Client Projects;

  • Access or use by more than one Authorized User;

  • Transfer or delivery of original Image files to another person or business;

  • Use in an End Product for Sale;

  • Use in logos, trademarks, service marks, or other source-identifying brand marks;

  • Print Use; or

  • Any use prohibited by Section 6.

4. Extended License

4.1 Grant of rights

The Extended License includes all Standard License rights and additionally permits qualifying team, client, and digital resale uses described below.

4.2 Authorized Users

The Extended License permits up to five Authorized Users who are employees or individual contractors working for the same Licensee. The Licensee is responsible for every Authorized User’s compliance with this Agreement. A client is not an Authorized User merely because the Licensee creates work for that client.

4.3 Client Projects

The Licensee may use Images in Client Projects and deliver completed End Uses to clients. A client may continue using an Image only as incorporated into the delivered Client Project.

The Licensee may provide an original Image file to a client or project contractor only when access is reasonably necessary to complete that specific Client Project and only if the recipient:

  • Is told that the Image is licensed, not sold;

  • Uses the Image solely for that Client Project;

  • Does not use the Image in unrelated or future projects;

  • Does not redistribute, sublicense, resell, or make the Image available to others; and

  • Deletes or returns the original Image file when access is no longer necessary.

If a client wants to use an Image independently, in additional projects, or outside the delivered End Use, the client must purchase its own appropriate License.

4.4 End Products for Sale

The Extended License permits use of Images in digital End Products for Sale only when all of the following conditions are met:

  • The Image is incorporated into a larger original design or work;

  • The Image is not the primary reason a customer would purchase the End Product;

  • The Image cannot be readily extracted, downloaded, or reused as a standalone file;

  • The End Product does not compete with Frills or function as a stock-image library; and

  • The End Product does not give its purchaser rights to reuse the Image outside that End Product.

Examples may include a designed ebook, course workbook, social-media template, presentation template, or downloadable guide in which the Image forms part of a larger composition. Selling or distributing the Image itself, with only minimal changes, is never permitted.

4.5 Extended License exclusions

The Extended License does not permit:

  • More than five Authorized Users without a separate written enterprise license;

  • Giving a client or third party general access to the purchased Product or a library of Source Files;

  • Use in logos, trademarks, service marks, or other source-identifying brand marks;

  • Print Use;

  • Resale or redistribution as standalone or competing stock content; or

  • Any use prohibited by Section 6.

6. Restrictions applying to every License

Regardless of the license type purchased, you may not:

  1. Resell or redistribute Source Files. You may not sell, sublicense, share, give away, upload, or redistribute an Image as a standalone file or as part of a stock-image, asset, wallpaper, download, or resource collection.

  2. Create a competing product. You may not use Images to create or contribute to a competing stock-photo site, image pack, photo bundle, Mega Pack, digital asset library, or similar offering.

  3. Make Images extractable. You may not distribute an End Use in a way that allows a recipient to extract or download a substantially original Image file, except for the limited project access permitted under Section 4.3.

  4. Use Images for AI training. You may not use Images as training, validation, fine-tuning, or reference data for a machine-learning or generative-AI model, dataset, or competing image-generation system.

  5. Create deceptive synthetic media. You may not use Images to falsely represent that a depicted person is a real person, public figure, customer, employee, expert, or endorser, or to create a deceptive deepfake.

  6. Use Images unlawfully or harmfully. You may not use Images in unlawful, defamatory, fraudulent, harassing, obscene, hateful, discriminatory, or otherwise harmful content.

  7. Imply endorsement. You may not use an Image in a way that falsely implies endorsement, sponsorship, affiliation, or approval by a person, brand, organization, or public figure.

  8. Use Images as trademarks. You may not register or use an Image, in whole or in substantial part, as a logo, trademark, service mark, trade dress, or other source identifier.

  9. Use Images in print. You may not reproduce an Image in any physical printed format.

  10. Misrepresent authorship or origin. You may not falsely claim that an AI-generated depiction is an authentic photograph of an actual event or person.

  11. Remove notices for the purpose of concealment. You may not remove embedded metadata, notices, or technical identifiers for the purpose of concealing an unauthorized use or falsely representing the Image’s source.

7. Digital-only license and print restriction

7.1 No Print Use

All Products are licensed for Digital Use only. Print Use is prohibited under both Standard and Extended Licenses unless Frills gives you separate, express written permission.

7.2 Examples of prohibited Print Use

Prohibited Print Use includes magazines, newspapers, books, brochures, product packaging, labels, hang tags, business cards, stationery, flyers, invitations, event programs, posters, banners, billboards, apparel, merchandise, and physical promotional items.

7.3 Quality and downstream use

Images are prepared for digital display and may not meet the resolution, color-profile, or production requirements of a particular print process. If you provide a digital End Use to a client or third party, you are responsible for communicating and enforcing the no-print restriction.

8. AI-generated content disclosures and customer responsibilities

Images are created using generative-AI tools and may be edited by a human. You are responsible for:

  • Reviewing each Image before use, including details such as anatomy, text, products, logos, backgrounds, and visual artifacts;

  • Determining whether an Image is suitable for your intended context, audience, platform, and jurisdiction;

  • Complying with applicable laws, advertising rules, industry requirements, and platform policies;

  • Providing an AI-content disclosure when one is required for your particular use; and

  • Avoiding statements that identify a depicted person as real or claim that a depicted person personally used, endorsed, or experienced a product or service.

Unless a Product Page expressly states otherwise, depicted people, places, products, packaging, marks, and events are fictional or illustrative and should not be treated as verified representations of real people, property, products, or events.

9. Ownership, exclusivity, and intellectual-property notice

9.1 No transfer of ownership

Your purchase gives you contractual permission to use a Product within the scope of the selected License. It does not transfer ownership of the Product, Source Files, Frills branding, curation, edits, selection, arrangement, or other protectable elements.

9.2 AI-content limitations

The copyright status of AI-generated material may vary by jurisdiction and may depend on the level of human authorship involved. Frills does not promise that every unedited element of an Image is independently copyrightable or that you will be able to register copyright in an Image or End Use. The contractual restrictions in this Agreement still apply to your access to and use of the files Frills provides.

9.3 Similar outputs and non-exclusivity

Generative-AI systems may produce content that resembles other outputs or existing material. Frills does not guarantee that an Image is unique, exclusive, or free from all similarity to third-party content. You are responsible for additional clearance appropriate to high-risk uses, including prominent advertising, regulated industries, political content, and uses involving recognizable brands, trade dress, or public figures.

10. Termination for breach

If you materially violate this Agreement, the License for the affected Product terminates automatically unless Frills provides written notice allowing you time to cure the violation. After termination, you must stop using the affected Images, remove them from projects under your control where reasonably possible, and delete all Source Files in your possession or control.

Termination does not limit Frills’ right to seek payment, injunctive relief, actual damages, or any other remedy available under applicable law. A properly purchased License does not expire merely because you stop shopping with Frills, close your customer account, or because a Product is removed from sale.

11. Disclaimers and limitation of liability

Products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Frills disclaims warranties of merchantability, fitness for a particular purpose, noninfringement, uniqueness, exclusivity, accuracy, and error-free operation.

You are responsible for reviewing Images before publication and for maintaining your own backups after download. Frills does not guarantee continued access to a download link or continued availability of any Product.

To the fullest extent permitted by law, Frills will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, production costs, recall costs, or business interruption arising from a Product or its use. Frills’ total liability arising from a purchased Product will not exceed the amount you paid Frills for that Product and License.

Nothing in this Agreement excludes liability that cannot lawfully be excluded or limited. Any additional limitations, dispute terms, or governing-law provisions in the Terms and Conditions also apply.

12. Indemnification

You agree to defend, indemnify, and hold harmless Frills and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable legal fees arising from:

  • Your use of an Image outside the scope of the License you purchased;

  • Your breach of this Agreement;

  • Your End Use, Client Project, End Product for Sale, advertising claim, or representation made in connection with an Image; or

  • Conduct by an Authorized User, client, contractor, or other person who receives an Image file from you.

13. Orders, delivery, refunds, and records

Product pricing, payment processing, digital delivery, refund eligibility, taxes, and customer-account rules are governed by the Product Page, the Website’s Refund Policy, and the Terms and Conditions.

You are responsible for retaining your order confirmation or other proof showing the Product and license type purchased. If a dispute arises regarding your rights, Frills may request reasonable proof of purchase.

14. Changes to this Agreement

Frills may revise this Agreement for future purchases. The version in effect when you purchase a Product governs that purchase unless you later agree to different terms or purchase an upgraded License. Changes posted after your purchase will not retroactively reduce the permitted uses granted for that purchase, but Frills may apply updated safety, legal-compliance, and platform-security requirements where required by law or reasonably necessary to prevent unlawful use.

15. General terms

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later. You may not assign or transfer your License except as expressly permitted in this Agreement or with Frills’ prior written consent.

This Agreement, the applicable Product Page, and the Terms and Conditions form the complete agreement governing your license to a Product. If they conflict, the Product Page controls regarding the Product’s contents and selected license type, this Agreement controls regarding Image usage rights, and the Terms and Conditions control regarding general Website, payment, dispute, and governing-law matters.
